These Terms and Conditions ("Agreement") govern the relationship between Guru Marketing Inc. ("Agency"), located in Calgary, Alberta, and the client ("Client"). By engaging in business with Guru Marketing Inc., the Client agrees to these terms.

1. SERVICES

1.1 The Agency provides marketing services, including but not limited to social media marketing, branding, digital advertising, website development, content creation, and strategic consulting.1.2 Services are provided as outlined in the specific project proposal, scope of work, or service agreement between the Agency and Client.1.3 The Agency reserves the right to modify its service offerings at any time.

2. PAYMENT TERMS

2.1 Clients agree to pay the fees outlined in the proposal, contract, or invoice.2.2 Payment is due as specified in the invoice. Late payments may incur a late fee of 5% per month on the outstanding balance.2.3 For ongoing services, payments are billed monthly in advance unless otherwise specified.2.4 Any additional services requested beyond the agreed scope will be billed separately at the Agency’s prevailing rates.2.5 Refunds are not provided for completed work or prepaid services.

3. CLIENT OBLIGATIONS

3.1 The Client agrees to provide all necessary materials, approvals, and feedback in a timely manner to facilitate the project’s progress.3.2 The Client is responsible for ensuring that all content and materials provided do not infringe on any intellectual property rights.3.3 The Client agrees not to solicit or hire the Agency’s employees or contractors for independent work during or within 12 months after the conclusion of the contract.

4. INTELLECTUAL PROPERTY

4.1 All content, designs, strategies, and materials created by the Agency remain the property of Guru Marketing Inc. until full payment has been received.4.2 Upon full payment, the Client receives a non-exclusive, non-transferable license to use the deliverables.4.3 The Agency retains the right to use completed work for promotional and portfolio purposes unless otherwise agreed in writing.

5. CONFIDENTIALITY

5.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project.5.2 Confidential information shall not include information that is publicly available or becomes publicly known through no fault of either party.

6. TERMINATION

6.1 Either party may terminate this Agreement with 30 days’ written notice.6.2 If the Client terminates the agreement before project completion, the Client agrees to compensate the Agency for work completed up to the termination date.6.3 The Agency reserves the right to terminate the agreement immediately if the Client breaches any terms, engages in unethical business practices, or fails to make timely payments.

7. LIABILITY & WARRANTIES

7.1 The Agency shall not be liable for indirect, incidental, or consequential damages arising from its services.7.2 The Agency does not guarantee specific results, including but not limited to increased sales, website traffic, or social media engagement.7.3 The Client acknowledges that marketing success is influenced by various external factors beyond the Agency’s control.

8. FORCE MAJEURE

8.1 The Agency shall not be held responsible for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, internet outages, or governmental restrictions.

9. DISPUTE RESOLUTION

9.1 Any disputes shall first be resolved through good faith negotiations.9.2 If a resolution cannot be reached, disputes will be settled through arbitration in Calgary, Alberta, in accordance with the laws of Alberta.

10. GOVERNING LAW

10.1 This Agreement shall be governed by and construed under the laws of Alberta, Canada.
